DocuTrust Terms and Conditions

1. Acceptance of Terms

Welcome to DocuTrust ("Platform," "we," "our," or "us"). By creating an account, accessing, or using the DocuTrust platform, you agree to be bound by these Terms and Conditions. If you do not agree with any provision of these Terms, you must discontinue use of the Platform immediately.

2. About DocuTrust

DocuTrust is a secure digital document management and electronic signature platform designed to facilitate the creation, storage, management, electronic signing, verification, and authentication of digital documents. The Platform incorporates security technologies including audit logging, digital timestamping, cryptographic hashing, and blockchain-based document verification to enhance document integrity and authenticity.

Certain services, including electronic notarization (eNOTARY), may be subject to additional requirements, policies, and applicable laws.

3. Eligibility

To use DocuTrust, you must:

  • Be at least eighteen (18) years of age or possess legal capacity under applicable law.
  • Provide accurate and complete registration information.
  • Maintain the confidentiality of your account credentials.
  • Use the Platform only for lawful purposes.

Organizations using DocuTrust represent that their authorized representatives have authority to bind the organization to these Terms.

4. User Accounts

Users are responsible for:

  • Maintaining the confidentiality of their login credentials.
  • All activities conducted under their account.
  • Updating account information when necessary.
  • Immediately notifying DocuTrust of any unauthorized access or suspected security breach.

DocuTrust reserves the right to suspend or terminate accounts involved in fraudulent, unlawful, or abusive activities.

5. Electronic Signatures

By electronically signing a document through DocuTrust, you acknowledge and agree that:

  • Your electronic signature represents your intent to sign the document.
  • Your electronic signature has the same legal effect as your handwritten signature where recognized under applicable law.
  • You have reviewed the document before signing.
  • You are authorized to sign the document.

Electronic signatures generated through DocuTrust are accompanied by audit logs and digital timestamps to provide evidence of the signing process.

6. Document Ownership

Users retain ownership of all documents uploaded to the Platform.

By uploading documents, you grant DocuTrust a limited, non-exclusive license solely for the purpose of:

  • Secure storage
  • Document processing
  • Signature workflow management
  • Verification services
  • Security monitoring
  • Backup and recovery

DocuTrust does not claim ownership of user documents.

7. Blockchain Verification

DocuTrust may generate a cryptographic hash of signed documents and anchor the hash on a supported blockchain network.

Users acknowledge that:

  • Only cryptographic hashes and related verification data are stored on the blockchain.
  • The actual contents of documents are not publicly stored on the blockchain.
  • Blockchain records are permanent and cannot be altered once recorded.
  • Blockchain verification serves as evidence of document integrity and authenticity.

8. Audit Trail

The Platform automatically records system activities related to document processing.

Audit logs may include:

  • Date and time of actions
  • User identification
  • IP address
  • Device information
  • Signature events
  • Document status changes
  • Verification history

These records are maintained to support security, compliance, dispute resolution, and verification purposes.

9. User Responsibilities

Users agree not to:

  • Upload unlawful, fraudulent, or malicious content.
  • Forge identities or impersonate another individual.
  • Upload documents without proper authorization.
  • Circumvent security measures.
  • Attempt unauthorized access to other user accounts.
  • Interfere with the operation of the Platform.
  • Use the Platform for illegal or prohibited activities.

10. Privacy

DocuTrust collects, stores, and processes personal information in accordance with its Privacy Policy.

Information collected may include:

  • Account information
  • Contact information
  • Uploaded documents
  • Electronic signatures
  • Audit logs
  • Identity verification information (where applicable)
  • System usage information

Data is processed solely for providing and improving the Platform and complying with legal obligations.

11. Security

DocuTrust implements commercially reasonable administrative, technical, and organizational security measures, including:

  • Secure authentication
  • Access controls
  • Encryption where applicable
  • Digital timestamping
  • Cryptographic hashing
  • Audit logging
  • Blockchain verification

While reasonable efforts are made to protect user information, no online service can guarantee absolute security.

12. eNOTARY Services

Where available, the eNOTARY module requires additional identity verification procedures before notarization may be completed.

Users acknowledge that remote online notarization may require:

  • Government-issued identification
  • Identity verification
  • Live video conferencing with a commissioned notary public
  • Geographic validation where required by applicable law
  • Additional audit logging and recordkeeping

Completion of notarization remains subject to the independent judgment and legal obligations of the commissioned notary public.

13. Availability of Services

DocuTrust strives to maintain continuous availability but does not guarantee uninterrupted access.

Maintenance, upgrades, technical issues, force majeure events, or third-party service interruptions may temporarily affect availability.

14. Intellectual Property

All software, designs, logos, trademarks, interfaces, workflows, and proprietary technologies of DocuTrust remain the exclusive property of DocuTrust or its licensors.

Users may not:

  • Copy
  • Reverse engineer
  • Redistribute
  • Modify
  • Sell
  • Commercially exploit

any part of the Platform without prior written permission.

15. Third-Party Services

DocuTrust may integrate with third-party services including:

  • Email delivery providers
  • Blockchain infrastructure
  • Identity verification providers
  • Payment gateways
  • Video conferencing services

DocuTrust is not responsible for the independent policies, availability, or actions of third-party providers.

16. Limitation of Liability

To the maximum extent permitted by law, DocuTrust shall not be liable for:

  • Indirect damages
  • Consequential damages
  • Loss of profits
  • Loss of business opportunities
  • Data loss caused by user negligence
  • Service interruptions beyond reasonable control

The Platform is provided on an "as available" and "as is" basis.

17. Indemnification

Users agree to indemnify and hold harmless DocuTrust, its officers, employees, affiliates, and partners from claims, damages, liabilities, costs, and expenses arising from:

  • Violation of these Terms
  • Misuse of the Platform
  • Unauthorized use of another person's information
  • Violation of applicable laws

18. Suspension and Termination

DocuTrust may suspend or terminate access if a user:

  • Violates these Terms;
  • Engages in fraudulent or illegal activities;
  • Compromises platform security; or
  • Uses the Platform in a manner that may harm other users or DocuTrust.

Termination does not affect obligations incurred prior to termination.

19. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to conflict of law principles.

Any dispute arising from these Terms shall be subject to the appropriate courts of competent jurisdiction in the Philippines, unless otherwise required by applicable law.

20. Changes to these Terms

DocuTrust reserves the right to amend these Terms at any time. Material changes will be communicated through the Platform or by other reasonable means. Continued use of the Platform after such changes constitutes acceptance of the revised Terms.
